1. Introduction
Welcome to Ryhaly.com (“we,” “our,” “us”). These Terms of Service (“Terms”) govern your use of our website, services, and any related offerings (collectively, the “Services”). By accessing or using our Services, you agree to be bound by these Terms.
If you do not agree, please do not use our Services.
2. Eligibility
You must be at least 18 years old to use our Services. By using Ryhaly.com, you confirm that you have the legal capacity to enter into these Terms.
3. Services
Ryhaly.com provides professional design services including, but not limited to: branding, UI/UX, website design, graphic design, packaging design, and related creative services.
We may offer additional services from time to time. All Services are subject to these Terms unless otherwise agreed in writing.
4. Account Responsibility
Some Services may require you to create an account. You are responsible for maintaining the confidentiality of your login credentials and for all activities conducted under your account. You agree to notify us immediately if your account is compromised.
5. Client Responsibilities
Clients agree to provide accurate, complete, and timely information required for project delivery. This may include brand assets, copy, files, or other project materials. Failure to provide requested materials may delay delivery.
6. Payment Terms
Payments must be made as specified in any quotes, proposals, or invoices.
For project-based services, a deposit (typically 50%) is required before work begins.
Final payment is due upon completion or as otherwise stated in the agreement.
Late payments may incur a late fee of 1.5% per month or the maximum allowed by law.
All payments are in USD unless stated otherwise.
7. Revisions
Standard revisions included will be specified in the project agreement.
Additional revisions outside the agreed scope may incur additional fees.
Revisions are only valid when requested in writing or via email.
8. Deliverables
Final deliverables are provided upon full payment unless otherwise agreed.
We retain the right to display completed work in portfolios, social media, or marketing materials, unless otherwise agreed in writing.
9. Intellectual Property
Ryhaly.com retains ownership of all original design concepts until full payment is received.
Upon receipt of full payment, clients are granted a non-exclusive, non-transferable license to use the delivered work for intended purposes.
Unauthorized reproduction or resale of Ryhaly.com’s work is prohibited.
10. Project Cancellations
Either party may cancel a project in writing.
Deposits and any work completed prior to cancellation may not be refundable.
If Ryhaly.com cancels, a pro-rated refund of unused fees may be issued at our discretion.
11. Warranties and Disclaimers
Ryhaly.com provides Services “as is” and does not guarantee specific results.
We disclaim warranties of merchantability, fitness for a particular purpose, or non-infringement.
We are not liable for delays, lost profits, or damages arising from the use of our Services.
12. Limitation of Liability
To the maximum extent permitted by law, Ryhaly.com’s liability is limited to the amount paid by the client for the specific Services giving rise to the claim.
We are not liable for indirect, incidental, consequential, or punitive damages.
13. Indemnification
You agree to indemnify, defend, and hold harmless Ryhaly.com, its affiliates, and employees from any claims, damages, liabilities, or expenses arising from your use of the Services or breach of these Terms.
14. Third-Party Services
Ryhaly.com may use third-party platforms, plugins, or software to deliver Services. We are not responsible for the actions, accuracy, or failures of any third-party providers.
15. Confidentiality
Both parties agree to maintain confidentiality of proprietary information shared during the course of the project. This includes, but is not limited to, project plans, design files, business information, and trade secrets.
16. Governing Law
These Terms are governed by the laws of the United States and the state of your principal office (or Delaware if unspecified). Any disputes must be resolved in state or federal courts within the jurisdiction of our office.
17. Termination
We reserve the right to terminate your access to Services at our discretion, with or without notice, for violation of these Terms.
Upon termination, all unpaid fees remain due, and any rights granted to the client are revoked.
18. Changes to Terms
Ryhaly.com may update these Terms at any time. Changes take effect immediately upon posting on our website. Your continued use constitutes acceptance of the updated Terms.
19. Entire Agreement
These Terms, along with any written agreements, constitute the entire understanding between Ryhaly.com and the client. They supersede all prior agreements, communications, or proposals.
